ACCEPTANCE OF JUST-US'S RULES
JUST-US's bylaws require JUST-US's members, as a condition of membership,
to abide by these policies and all other rules and regulations adopted
by JUST-US. In addition, all participants in JUST-US activities, as
a condition of their participation, shall similarly agree to abide
by JUST-US's bylaws, rules, policies and canons of conduct.
USE OF JUST-US NAME
JUST-US name, marks and logos may be used only in conjunction with
JUST-US business and only upon the prior written authorization of
the Board of Directors. JUST-US's name, marks or logos shall not be
used where such use could be construed as an endorsement of a company,
person, product, service or activity.
ACCESS FOR INDIVIDUALS WITH DISABILITIES
JUST-US shall make every reasonable effort to schedule facilities
for all meetings which have complete and convenient access for attendees
with disabilities.

to users of JUST-US's various services and programs:
The information provided as a member service
through any JUST-US program and service, (i.e. conferences, resolutions
diskettes, Siemens Enterprise Networks, Inc.
User Bulletin Board System, newsletter articles, and membership
directory) are derived from sources believed to be reliable. However,
such programs and services may not provide the best or only information
available. In addition, JUST-US does not control the source or check
the accuracy of such information. As such, JUST-US makes no warranty,
guarantee or representation whatsoever as to the absolute validity
or sufficiency of any representation of information, and disclaims
as a condition of their participation, all responsibility for the
use or misuse of such representations or information. Further, users
of JUST-US programs and services waive any right of claim for damages
they may have against JUST-US or its individual members and their
members' delegates and employees with respect to the information
or representations provided through those JUST-US programs and services.
LEGAL COUNSEL
JUST-US shall retain legal counsel. All requests from JUST-US headquarters
staff and JUST-US members for legal assistance shall be referred to
the Chief Staff Executive for coordination and disposition. The Chief
Staff Executive shall consult with the JUST-US President before engaging
legal counsel on any new matter. Any communication received by JUST-US
from governmental bodies, notices of suits, subpoenas or any other
similar legal communication should be brought to the immediate attention
of the Chief Staff Executive. If any member or staff person is approached
by a government official, officer of the court or litigant, the member
or staff person should refer all inquiries to the Chief Staff Executive.
Under no circumstances should members or staff persons respond to
any inquiries from outside parties regarding JUST-US's legal affairs.
USE OF JUST-US MEMBER LIST
JUST-US wishes to protect its members from solicitation and recruiting.
The membership list or any portion thereof will not be provided to
any person, business or organization for any purpose whatsoever without
the prior approval of the Board of Directors. The Board of Directors
has authorized the President to approve the use of the membership
list for JUST-US related activities.
BUDGET EXCEPTION
Each member of the Board of Directors responsible for a specific program,
i.e. Marketing, may reallocate funds from one expense account to another
as long as the total expenditure for the program(s) does not exceed
the budgeted expenditure for that program(s). Any request for expenditure
of funds which will result in the total expenditure for the program(s)
exceeding the budgeted amounts must be approved by the Board of Directors
in advance of the commitment of the expenditure.
BOARD NOMINATIONS/ELECTIONS
The nominating committee shall be appointed in advance of the first
JUST-US conference in each calendar year by the Immediate Past President
or the chairperson appointed in accordance with the bylaws and approved
by the Board of Directors. The committee will carry out the following
duties through the election process:
Nominate people who can best carry out the
JUST-US mission.
Nominate a maximum of three candidates for
each open position, (with the exception of the president and executive
Vice President which are appointed positions), except in extenuating
circumstances, which would require approval of the Board of Directors.
Ensure eligible board members are automatically
renominated in accordance with the bylaws.
Keep confidential all deliberations of the
nominating committee.
Ensure candidates complete an application
that provides written criteria upon which to uniformly evaluate
potential candidates which may include, but is not limited to:
prior responsibilities, contributions to the organization, length
of membership, potential conflicts of interest and familiarity
with the JUST-US mission; have job descriptions available for
candidate review.
Present the slate of candidates to the Board
of Directors for approval.
Make every reasonable effort to advise all
candidates of the final slate prior to any disclosure to the membership
of the Board of Directors' decision.
Ensure that candidates prepare a brief biographical
statement for publication to the membership in accordance with
the standards set forth by the Immediate Past President and communicated
to each candidate. In all cases, the candidate shall receive a
final copy of their biography prior to publication.
Ballots and candidate biographies shall
be mailed to voting representatives approximately 60 days prior
to the last JUST-US conference of each calendar year. Returned
ballots received postmarked by the published deadline shall be
tabulated.
Notify the Nominating Committee Chairperson
of election results as soon as available so the Immediate Past
President can then notify each candidate.
Official notification of election results
shall be presented by the President at the Business Meeting at
the last JUST-US conference of the calendar year.
FUND BALANCE
JUST-US's goal is to increase the net asset of the fund balance each
year by 12-15 percent. JUST-US's annual budgeting process will allocate
a percentage of its annual operating expenses to be invested in the
fund balance to meet this target. If the fund balance is at goal,
additional moneys may be added to the fund balance at the recommendation
of the Vice President of Finance and the approval of the Board of
Directors.
INDEPENDENT AUDIT BY OUTSIDE CPA
JUST-US has a fiscal responsibility to collect, maintain and spend
its funds in a prudent fashion. Prudent stewardship requires establishing
sound internal audit procedures to accomplish this objective. Additionally,
JUST-US will obtain an audit of itself by an independent licensed
CPA firm on an annual basis. Review and approval of the audit will
be conducted jointly by the Chief Staff Executive and the Vice President,
Finance.
GUEST PARTICIPATION
JUST-US will welcome guests/spouses to attend conferences for a fee
set by the Board of Directors. Guests may attend sessions where their
spouse is a presenter, as well as the opening, closing and keynote
sessions and JUST-US sponsored social events. Attendance at any other
session would require the specific written approval of the Vice President
of Conferences in advance of a session, on a session by session basis.
CONFERENCE REGISTRATION FEES
During the annual budgeting process, the Board of Directors will review
and approve the regular, advanced and guest registration fees for
the spring and fall conferences. Once fees are established, the following
special fees and discounts will apply.
One-day speakers shall be granted complimentary
registration for the one day of their scheduled session.
Paid speakers receive complimentary registrations.
Non-members participating in the "Come Look
Us Over Program" shall be charged a surcharge over and above the
applicable registration fee (regular or advanced). The surcharge
shall be determined in advance by the Board of Directors.
Regional Affiliate Member voting representatives
shall be charged the member conference rates, however, Regional
Affiliate Members who are not members of JUST-US through their
own companies shall be charged a surcharge over and above the
applicable registration fee (regular or advanced). The surcharge
shall be determined in advance by the Board of Directors.
Siemens Enterprise Networks,
Inc. shall be granted complimentary registrations for
employees
that are pre-approved by the President and Executive
Vice President
provided that such list of employees is presented by
Siemens Enterprise Networks, Inc. to the officers no later than
30 days prior to the start of each conference.
Additional Siemens Enterprise Networks, Inc. employees may attend
at the advanced registration fee rate.
JUST-US EXPENSE REIMBURSEMENT GUIDELINES:
POLICY ON TRAVEL, ENTERTAINMENT AND OTHER BUSINESS EXPENSES OF JUST-US
MEMBERS
General Policy
This statement of policy has been prepared in order to establish
standards and guidelines to achieve consistent and fair treatment
for all members entitled to reimbursement related to travel, entertainment
or other business expenses on behalf of JUST-US. It is intended
as a guide, both for those authorized to approve expense statements,
as well as to guide the member in selecting the appropriate travel
services in order to ensure reimbursement.
It is the policy of JUST-US to reimburse
certain members (who have been appointed or elected to specific
volunteer positions) for their travel related expenses when
their companies cannot pay for their expenses.
Generally, those covered by this policy
or any part of this policy, will be reimbursed for those normal
types of business expenses which are incurred as a result of
the member's volunteer position with JUST-US. Expenses will
be covered the day before and/or the day after the scheduled
function if the member feels it is necessary. Members eligible
for reimbursement are reminded that funds expended are those
of the general membership and therefore should be expended conservatively
at all times.
No expenditure by a member shall be reimbursed
in any case where the direct disbursement by JUST-US of that
item would not be permissible under other policies, as a matter
of law or IRS regulations.
Coordination of Expenses
From time to time an individual traveling on JUST-US business
may stop over at a different location or extend their stay, for
personal or non-JUST-US related business. JUST-US will reimburse
the submitter for the appropriate portion of the actual expense.
In terms of allocating expenses in situations
where a business trip is combined with an JUST-US trip, the
guiding principle is that JUST-US should never be penalized
and whenever possible, should benefit from a coordinated trip.
For example, if an individual decides to add a business call
onto an JUST-US site visit, the transportation costs should
be split (thereby benefiting both JUST-US and the volunteer).
In terms of allocating expenses in situations
where a personal trip is combined with an JUST-US business trip,
the guiding principle is that an individual should never be
penalized.
If an individual decides to add a personal
visit to an JUST-US trip, JUST-US will reimburse the individual
for only that portion of the trip expenses as would have been
incurred for the portion related to JUST-US business.
Ground Transportation Related Expenses
Ground transportation and use of rental cars will be reimbursed
up to taxi cab fare. The use of rental cars and taxis, where timely,
free or reasonable public transportation is available, is specifically
discouraged. Members are encouraged to coordinate travel plans
and share transportation expenses whenever possible.
The use of personal cars will be reimbursed
at the current IRS rate for transportation from a member's home
to meeting location not to exceed regular coach airfare. The
use of personal cars will also be reimbursed at the current
IRS rate for transportation to and from point of departure,
ie; airports, train stations etc.
Airfare
JUST-US will reimburse airfares up to a maximum of the full coach
fare, except where transoceanic flights in excess of six hours
are necessary, in which case JUST-US will reimburse up to business
class rate.
Members traveling on JUST-US business should
hold discounted airfares as a rule, and if a fee is charged
in order to make last minute changes, this fee also will be
reimbursed. It is recognized that individuals may need to change
their travel plans on short notice, resulting in a fee in discounted
fares; however, generally, discounted fares and fees for changes
will be less expensive than full fare coach tickets.
Hotel Room
If an individual has been elected or appointed to a position in
which hotel room costs are reimbursed, all such costs will be
reimbursed up to the JUST-US negotiated room rate, providing that
the individual is serving in the appointed or elected position
at the time the charges are incurred.
Individuals entitled to hotel room reimbursement
shall use hotel complimentary rooms where available. The assignment
of complimentary hotel rooms in conjunction with each JUST-US
conference shall be reviewed in advance by JUST-US's president.
Meals
The cost of meals where reimbursement is in accordance with this
policy shall be reimbursed up to the reasonable and customary
cost of the meals in the city where the costs are incurred. Facilities
should be selected that will allow for a maximum of $40.00 per
person.
Communication and Delivery
The cost of reasonable expenses for telephone or other communications
media will be reimbursed for those members whose expenses are
normally reimbursed by this policy. Where possible, telephone
credit cards should be used to minimize surcharges levied by hotels.
Laundry and Valet
Laundry and valet services are only reimbursable when traveling
members are required to be away long enough to require such service
or when the services become necessary due to circumstances which
occur at the meeting.
Entertainment
Reasonable expenses for business entertainment are reimbursable.
However, such entertainment must be directly related to or associated
with the business of JUST-US and bear a close relationship to
the function and duties of the member incurring the expense.
Spouses/Guests Reimbursable Expenses
Expenses for a member's guest will not be reimbursed unless specifically
authorized in advance by the board of directors.
Other Expenses
Other expenses which a member might incur as a result of authorized
travel on behalf of JUST-US will be reimbursed where deemed appropriate
by the person the board directs as responsible for approving the
expense statement. If the person approving the expense statement
is uncertain as to whether or not a particular expense should
be reimbursable, the expense statement will be reimbursed without
the questionable item. As soon as possible, the questionable expense
item will be referred to the vice president of finance for approval/disapproval.
It is recommended that members planning
to travel on JUST-US business where expenditures not specifically
covered by this policy will be incurred, seek clarification
regarding reimbursement from the chief staff executive. Special
circumstances may be approved by the president for extenuating
circumstances in advance where possible. All approved special
expenses will be reported to the board of directors at the next
board of director's meeting.
Accounting for Expenses
Each member requesting reimbursement for travel related expenses
shall complete JUST-US's travel expense statement as soon practical
after the trip is completed
JUST-US MEDIA RELATIONS GUIDELINES
JUST-US recognizes the importance of the free exchange of
ideas and
information between its membership and Siemens Enterprise
Networks, Inc. company representatives. The following guidelines are
intended to establish an environment for media
representatives to
effectively gather and report information regarding the
activities
of JUST-US without inhibiting that free exchange.
Communications with Representatives of
the Media
The President of JUST-US is the designated official spokesperson
for JUST-US. Media inquiries concerning JUST-US activities and
JUST-US's official position on JUST-US and/or industry matters
shall be directed to the President of JUST-US or his/her designee(s).
Reporting and Publication
Publication of official JUST-US news releases shall be allowed
and encouraged. The publication of any JUST-US ed or
confidential printed material is expressly prohibited.
If the reported JUST-US event includes
the active participation or involvement of a Siemens Enterprise Networks, Inc. employee, the concurrence of
the Siemens Enterprise Networks, Inc./JUST-US
liaison shall be required.
Members of the Media as JUST-US Members
Media organizations that meet the JUST-US membership requirements
may participate in JUST-US activities as full JUST-US members.
All members of media related organizations are expected to follow
JUST-US's Canons of Conduct.
Media Attendance at JUST-US Conferences
Attendance by media representatives at JUST-US events shall be
by invitation only. The JUST-US Board of Directors shall approve
the presence of media representatives at all JUST-US events. All
media representatives attending JUST-US events for the purpose
of reporting on those events shall be subject to JUST-US's Canons
of Conduct.
Prior to admission to JUST-US events, media
representatives will be given clear guidelines regarding any
restrictions on their access to specific meetings or presentations
by the President and/or Executive Vice President of JUST-US
or their designees.
ELECTRONIC COMMUNICATIONS POLICY
Members-Only Website
Participants. The members only
website is a benefit of JUST-US membership. Only active members
(as defined in the JUST-US bylaws) and designated Siemens Enterprise Networks Liaisons may participate
in the forum. Siemens Enterprise Networks
Liaisons will be approved by the Director of Communications
and board Siemens Enterprise Networks liaison.
Multiple participants: There is no
limit of members only forum participants per member company.
Sponsor Participants. Companies
participating in JUST-US's sponsorship program may be considered
for subscription to the listserver forum. Their participation
in the listserver will be approved by a majority vote of the
board of directors.
Additional Participants. Additional
participants in the members only forum, who do not meet the
requirements of section 1.1.1 need to be approved by a majority
vote of the JUST-US board of directors.
Conduct. All members and JUST-US
participants are required to follow the JUST-US canons of
conduct in all JUST-US activities. Participation in the members
only forum is defined as an JUST-US activity. In addition,
the following guidelines apply:
The JUST-US Members Only Discussion Forum is governed by the By-laws,
Canons of Conduct and Polices of JUST-US. By accessing the JUST-US
Members Only Discussion Forum the participant accepts full responsibility
for the content and language of any message or information which
the participant transmits or downloads, and agrees to and accepts
all restrictions on use of the JUST-US Members Only Discussion
Forum stated herein and in all relevant JUST-US Bylaws & Policies.
By entering this discussion forum the participant has acknowledges
that he/she has read the JUST-US Bylaws, Canons of Conduct and
Policies. Anonymous or Pseudonymous communications are prohibited.
DO NOT POST ANY CONTENT WHICH IS: defamatory,
profane, offensive to commonly accepted sensibilities, or obscene;
anticompetitive; protected by s, patents, or trademarks
without the written approval of the author or owner; or violate(s)
